1. Overview of Services

1.1 Design Subscription

The Design Subscription provides ongoing design support through a recurring subscription model and includes:

• One active design request at a time.

• Unlimited revisions within the original project scope.

• Average turnaround time of 2–3 business weeks per request.

• Monthly or annual subscription with automatic renewal.

1.2 Fixed-Scope Projects

Fixed-scope projects are quoted individually. The project scope, deliverables, timeline, and revision limits are agreed upon before work begins.

2. Service Terms

2.1 Subscription Terms

• Subscriptions are billed monthly with no long-term commitment.

• A 30-day written notice is required for cancellation.

• Subscriptions may be paused with 15 days' prior notice.

• Unused time does not roll over to future billing periods.

• Subscription services are non-transferable.

2.2 Project Terms

• A 50% deposit is required before work begins.

• The remaining balance is due before final files are delivered.

• Project timelines begin once the deposit and all required materials have been received.

• Rush requests may be subject to additional fees.

3. Scope of Services

4. Client Responsibilities

The client agrees to:

• Provide all necessary materials, including brand guidelines, content, high-quality images, and project briefs.

• Review deliverables and provide feedback promptly.

• Appoint a single point of contact for project communication.

• Respond to revision requests within three business days.

5. Intellectual Property

• Full ownership of the final approved deliverables transfers to the client upon full payment.

• I retain ownership of unused concepts, preliminary designs, and exploratory work.

• I reserve the right to showcase completed work in my portfolio unless otherwise agreed.

• The client is responsible for trademark clearance and copyright compliance.

• Final deliverables are provided in standard formats (JPG, PNG, PDF). Source files are available upon request for an additional fee.

6. Revisions

Design Subscription

Unlimited revisions are included within the original project scope.

Significant changes to the approved creative direction will be treated as new requests.

Fixed-Scope Projects

The number of revisions is specified in the project proposal.

Additional revisions beyond the agreed scope are billed at the applicable hourly rate.

7. Termination

Design Subscription

Subscriptions may be canceled with 30 days' written notice.

A prorated refund will be issued for any unused subscription period where applicable.

Fixed-Scope Projects

If a project is terminated before completion, a 25% termination fee (Kill Fee) applies.

The client retains ownership of all completed and fully paid deliverables.

8. Payment Terms

• Subscription fees are billed monthly.

• A $25 late payment fee applies to failed subscription payments.

• Outstanding project balances are subject to 1.5% monthly interest.

• Payment plans may be available upon request.

9. Confidentiality

All client information is treated as confidential.

Reasonable measures are taken to protect client data, and project information remains confidential even after the engagement has ended.

10. Limitation of Liability

My total liability is limited to the amount paid for the applicable project or service.

I am not responsible for the performance of third-party services, nor do I guarantee specific business or commercial outcomes.

Neither party shall be liable for delays or failures caused by events beyond reasonable control (force majeure).

11. Dispute Resolution

Any dispute will first be addressed through good-faith negotiation.

If unresolved, the parties agree to pursue arbitration before initiating legal proceedings.

12. Changes to These Terms

I reserve the right to update these Terms of Service at any time.

Material changes will be communicated at least 30 days before they become effective.

Continued use of my services after that date constitutes acceptance of the revised terms.
